Understanding intellectual property and business agreements

What this section covers

Intellectual property protects the names, creative works, inventions and designs a business builds. In India, registration is handled by the Office of the Controller General of Patents, Designs and Trade Marks, and the Copyright Office. This section also covers agreements that decide who owns and controls a business and its IP.

  • Trademarks: registration, objection replies, opposition, renewal, assignment and monitoring under the Trade Marks Act, 1999, plus international filings through the Madrid Protocol and national filings such as the USA.
  • Copyright: registration under the Copyright Act, 1957 for literary, artistic, software and other works.
  • Patents and designs: patent search and filing under the Patents Act, 1970, and design registration under the Designs Act, 2000. Logo design support is also included here.
  • Business agreements: founders’ agreements, shareholders’ agreements, joint venture agreements, NDAs, master service agreements, employment agreements and franchise agreements.
  • Disputes and succession: corporate litigation support and will and succession planning.

Who needs these services

  • New businesses choosing a brand name and logo, who should check availability before investing in marketing.
  • Businesses whose trademark application has received an examination report or has been opposed after advertisement in the Trade Marks Journal.
  • Brand owners with registrations nearing the end of their ten-year term, or selling or licensing their marks.
  • Software developers, authors and creative businesses wanting a registered record of their works.
  • Inventors and R&D teams considering whether an invention is novel enough to patent.
  • Co-founders and investors who need written rules on equity, vesting, control and exit.
  • Companies sharing confidential information, entering joint ventures or franchising their model.

Filing and prosecution before the Trade Marks Registry and Patent Office are carried out by registered trademark or patent agents or advocates. Litigation is handled by advocates.

How to choose between the services

  • Protecting a brand name or logo in India: start with trademark registration. If the examiner raises objections, trademark objection replies follow; if a third party opposes, trademark opposition. Keep the mark alive with trademark renewal, and track conflicting filings with trademark monitoring.
  • Selling or transferring a brand: trademark assignment.
  • Expanding abroad: international trademark through the Madrid system, or a direct USA trademark filing.
  • Protecting creative work or code: copyright registration.
  • Protecting how a product looks: design registration; protecting how it works: patent search, then patent filing.
  • Setting up the business relationship: founders’ agreement at the start; shareholders’ agreement when investors join; joint venture agreement for a shared project; NDA before sharing sensitive information; master service agreement for ongoing client work; employment agreement for staff; franchise agreement to license your model.
  • Disputes or planning ahead: corporate litigation support, or will and succession planning. For sending or answering a legal notice, see the legal notices section.

A brand search before adopting a name, and a written agreement before work or money changes hands, generally cost less than resolving a dispute later. Expertvuw assists with documentation and coordination alongside independent registered agents and advocates.

Frequently asked questions

How long does a trademark registration last in India?

Under the Trade Marks Act, 1999, a registered trademark is valid for ten years from the date of application and can be renewed indefinitely for further periods of ten years each, on payment of the renewal fee. The Registry’s current procedure and fees should be checked before the expiry date, since late renewal involves additional fees.

How much time is there to oppose a trademark?

Once an application is advertised in the Trade Marks Journal, any person may file a notice of opposition within four months from the date of advertisement, as per the Trade Marks Rules, 2017. If no opposition is filed within that period, the mark generally proceeds to registration, subject to the Registry’s process.

How long must I reply to a trademark examination report?

As per the Trade Marks Registry’s published process, the applicant is required to reply to the examination report within one month (30 days) from the date of receipt. If no reply is filed within that time, the application may be treated as abandoned. The reply should address each objection with reasons and supporting documents.

Is copyright registration compulsory?

No. Under the Copyright Act, 1957, copyright arises automatically when an original work is created, and registration under Section 45 is optional. However, the entries in the Register of Copyrights serve as prima facie evidence of the particulars recorded, which can be useful if ownership or date of creation is disputed later.

What is the term of a patent and a registered design?

Under Section 53 of the Patents Act, 1970, a patent lasts 20 years from the filing date, subject to annual renewal fees. Under Section 11 of the Designs Act, 2000, a registered design is protected for ten years, extendable once by five years. Patentability depends on novelty, inventive step and industrial application, assessed by the Patent Office.
