Closing a Company: Strike-off, Voluntary Liquidation or Winding Up

Last updated: 2 October 2026

There are three main ways to close a company in India — each suited to a different situation. Our team helps you choose the right route, clears pending compliance and handles the filings, working with an insolvency professional where liquidation is needed.

Overview

Three ways to close a company

  • Strike-off (section 248) — for a company that has not carried on business for the previous two financial years, or never started business within a year of incorporation. The company clears its liabilities, passes a special resolution and files Form STK-2 (fee ₹10,000) with an indemnity, affidavits and a statement of accounts not older than 30 days. Applications are processed centrally by C-PACE.
  • Voluntary liquidation (section 59, IBC) — for a solvent company with assets or liabilities to settle. Directors make a declaration of solvency, members pass a special resolution, and an insolvency professional acts as liquidator until the NCLT dissolves the company.
  • Winding up by the NCLT (section 271) — on specified grounds such as a special resolution, fraud or failure to file financial statements for five years. Inability to pay debts is dealt with under the IBC instead.

A company with ongoing liabilities, litigation or regulatory licences usually cannot use the strike-off route.

Based on sections 248 and 271 of the Companies Act, 2013 and section 59 of the Insolvency and Bankruptcy Code, 2016. Last updated: 27 September 2026.
