Converting a Sole Proprietorship into a One Person Company (OPC)

Last updated: 2 October 2026

Keep full ownership of your business while gaining limited liability and a separate legal identity. Our team incorporates the OPC, transfers the proprietorship business to it and moves your GST credit and registrations across.

Overview

How a proprietorship becomes an OPC

There is no direct legal conversion of a proprietorship into a company. Instead:

  • A new One Person Company is incorporated, with you as the sole member and a nominee.
  • The OPC takes over the proprietorship’s business — assets, liabilities, contracts and employees — under a business transfer agreement.
  • The transfer can be tax-neutral under section 70(1)(zf) of the Income-tax Act, 2025 (earlier section 47(xiv)) if all business assets and liabilities pass to the company, the proprietor holds at least 50% of voting power for five years, and receives no consideration other than shares. If a condition is broken later, the exemption is withdrawn.
  • Unused GST input tax credit moves to the OPC through Form GST ITC-02; the OPC needs its own GST registration.

The OPC’s sole member must be an Indian citizen and resident in India.

Based on the Companies Act, 2013, the Income-tax Act, 2025 and the CGST Rules. Last updated: 27 September 2026.
