Net Owned Fund shortfalls or weak composition

    How long does NBFC registration take in India?

    Most NBFC Certificate of Registration (COR) applications take 3–6 months from submission to approval, provided the documentation and business plan are complete on the first attempt. The timeline extends significantly — often past a year — if RBI raises queries on the Net Owned Fund composition, promoter background, or business plan, which is the single biggest driver of delay in NBFC licensing.

    As per RBI norms effective October 2022, new NBFC applicants need a minimum Net Owned Fund (NOF) of ₹10 crore, up from the earlier ₹2 crore threshold, under Section 45-IA of the RBI Act, 1934. This capital must be unencumbered, verifiable through audited financials, and not parked in fixed assets or group-company investments beyond RBI’s permissible limits. NBFC-MFIs and NBFCs operating in India’s Northeast region have a lower NOF threshold of ₹5 crore — our NBFC-MFI registration service may be the more direct route if that fits your business.

    The core set includes your Certificate of Incorporation, MOA/AOA with financial activity stated as a company object, audited financial statements evidencing the NOF, a three-year business plan with financial projections, KYC and net-worth certificates for all directors and promoters, and a banker’s certificate confirming the NOF deposit. RBI also expects clean credit reports for directors and major shareholders as part of its fit-and-proper assessment.
