Lease and Rent Agreements – Commercial and Residential, Stamp Duty and Registration

Last updated: 2 October 2026

A lease or rent agreement fixes rent, deposit, maintenance, lock-in and exit terms for an office, shop, warehouse or home. Expertvuw’s team drafts lease and leave-and-licence agreements and guides you on stamp duty and registration in your state.

Overview

Leases, Licences and Registration

A lease transfers the right to use immovable property for a period in return for rent, governed by the Transfer of Property Act, 1882. A leave-and-licence agreement gives permission to occupy without creating an interest in the property, and is widely used in some states, such as Maharashtra. The choice affects tenant rights and eviction.

Under section 17 of the Registration Act, 1908 and section 107 of the Transfer of Property Act, leases from year to year or for a term exceeding one year must be registered — which is why 11-month agreements are common. Stamp duty is payable under the state Stamp Act on the agreement, usually based on rent, deposit and term, and some states require registration of leave-and-licence agreements regardless of term. State rent control laws and, where adopted, the Model Tenancy framework also apply.

Commercial leases also need terms on permitted use, fit-outs, lock-in, escalation, GST on rent, maintenance charges, and the use of the premises as a registered office or GST place of business.

Basis: Transfer of Property Act, 1882 (sections 105–117); Registration Act, 1908 (section 17); state Stamp Acts and rent control laws; Model Tenancy Act, 2021 (where adopted); CGST Act, 2017. Last updated: 27 September 2026.
