A vendor agreement sets clear terms for buying goods or services — price, specifications, delivery, quality checks, payment and liability. Expertvuw’s team drafts vendor and supply agreements for buyers and suppliers, including MSME payment and GST terms.
A vendor (supply) agreement governs the purchase of goods or services from a supplier over a period. Key terms include specifications and quality standards, ordering process (purchase orders), pricing and price revision, delivery schedules and Incoterms for imports, inspection and acceptance, warranties, returns and replacements, payment terms, confidentiality, liability limits, insurance, and termination.
Goods are also governed by the Sale of Goods Act, 1930, which implies certain conditions and warranties unless excluded. GST terms should cover tax invoices, e-invoicing where applicable, input tax credit and the consequences of a supplier’s failure to file returns. Where the supplier is a micro or small enterprise, the MSMED Act requires payment within the agreed period, not more than 45 days, and delayed dues can affect the buyer’s income-tax deduction.
For critical suppliers, agreements should also address business continuity, audit rights, anti-bribery and data protection obligations.
