Shifting the Registered Office of a Company

Last updated: 2 October 2026

Moving your registered office — within the same city, to another city in the same state, or to a different state — each follows a different route. Our team works out which applies, handles the approvals and files INC-22 and related forms.

Overview

Three ways to shift a registered office

  • Within the same city, town or village (same ROC jurisdiction) — a board resolution is enough; the company files Form INC-22 within 30 days with proof of the new address.
  • To another place in the same state, under a different ROC — a special resolution, followed by confirmation from the Regional Director in Form INC-23; then the order is filed and INC-22 submitted.
  • To another state — this alters the MOA. It needs a special resolution (MGT-14), a newspaper advertisement, notice to creditors and regulators, and approval from the Regional Director in Form INC-23. After approval, the order is filed with both ROCs and INC-22 is filed within 30 days.

A move outside the local limits of a city but within the same ROC also needs a special resolution. Proof of the new address — ownership or rent agreement, NOC and a utility bill — is needed in every case.

Based on the Companies Act, 2013 and the rules made under it. Last updated: 27 September 2026.
