Legal Documentation & Drafting

Contracts & Documents

A copy-pasted template from the internet rarely holds up when it actually matters — in a dispute, an audit, or a data protection complaint. Whether it’s your website’s privacy policy, an employment agreement, or a shareholder loan document, the right clauses protect you long after the document is signed.

Understanding business contracts and policy documents

What this section covers

Most business relationships rest on written documents. Under the Indian Contract Act, 1872, an agreement is enforceable when it has free consent, lawful consideration and a lawful object between competent parties. Writing it down clearly reduces disputes about what was agreed. This section covers three groups of documents:

  • Commercial agreements: vendor, distribution, marketplace, software development, consultancy, influencer and recruitment agreements, memoranda of understanding, and loan or investment agreements.
  • Employment and HR documents: HR policy, remote work policy, non-compete terms and termination agreements.
  • Property and personal documents: lease agreements, power of attorney and will deeds.
  • Website and data documents: privacy policy, terms of service, refund policy, cookie policy, disclaimer and GDPR compliance documentation.

Related laws include the Indian Stamp Act, 1899 and state stamp laws on stamp duty, the Registration Act, 1908 on registration, the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, and the Consumer Protection (E-Commerce) Rules, 2020 for online sellers.

Who needs these services

  • Start-ups and SMEs formalising relationships with suppliers, distributors, freelancers and technology vendors.
  • Sellers on online marketplaces and brands working with influencers.
  • Employers setting out workplace rules, remote work terms and exit arrangements.
  • Businesses with websites or apps that collect personal data from users in India or abroad.
  • Landlords and tenants, and individuals planning succession or authorising someone to act for them.

Documents drafted from generic templates often miss points that matter under Indian law, such as stamp duty, jurisdiction, dispute resolution and enforceability of restrictive clauses. For example, Section 27 of the Indian Contract Act, 1872 makes agreements in restraint of trade void, subject to limited exceptions, so post-employment non-compete clauses are generally hard to enforce in India.

How to choose between the services

  • Buying from or selling to other businesses: a vendor agreement or distribution agreement; a marketplace agreement if selling through a platform.
  • Engaging an outside developer or adviser: a software development agreement or consultancy agreement, with clear terms on ownership of work and confidentiality.
  • Early-stage understanding before a final contract: an MOU, noting that its binding effect depends on its wording.
  • Lending or investing money: a loan or investment agreement; company law and FEMA may also apply.
  • Hiring and people matters: recruitment agreement with a placement agency, HR policy, remote work policy, non-compete and termination agreement.
  • Running a website or app: privacy policy, terms of service, cookie policy, refund policy and disclaimer; GDPR compliance if you serve users in the EU.
  • Property and personal matters: lease agreement, power of attorney or will deed.

Before signing, check who the parties are, whether the document needs stamping or registration, how disputes will be resolved, and how either side can end the arrangement. Expertvuw assists with drafting support and coordination; where legal advice or representation is needed, it is given by independent advocates.

Frequently asked questions

Does a lease agreement need to be registered?

Under Section 17 of the Registration Act, 1908, a lease of immovable property from year to year, or for a term exceeding one year, is compulsorily registrable. This is why many residential leases are written for eleven months. Stamp duty is payable under the applicable state stamp law regardless of registration, and rates differ from state to state.

Is a non-compete clause enforceable in India?

Section 27 of the Indian Contract Act, 1872 makes agreements in restraint of a lawful profession, trade or business void, except for the sale of goodwill. Courts have generally upheld restrictions that apply during employment but not those that operate after it ends. Non-solicitation and confidentiality clauses are treated differently and are more commonly enforced.

Does my website need a privacy policy?

Websites that collect personal information have been expected to publish a privacy policy under the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011. The Digital Personal Data Protection Act, 2023 and its rules add notice and consent obligations as they come into force in phases. Check the current notified dates.

Must a will be registered to be valid?

No. Under the Registration Act, 1908, registration of a will is optional. Under Section 63 of the Indian Succession Act, 1925, a will generally must be signed by the testator and attested by two witnesses. Registration can help prove the will later, and probate requirements depend on the testator’s religion and the place where the property is located.

Is an MOU legally binding?

It depends on its wording and the parties’ intention. An MOU that sets out definite terms, consideration and an intention to be bound can be enforced as a contract under the Indian Contract Act, 1872. Many MOUs state that only confidentiality and exclusivity clauses are binding while commercial terms await a final agreement.
