Memorandum of Understanding (MoU) Drafting – Binding and Non-Binding Terms Made Clear

Last updated: 2 October 2026

An MoU records what two or more parties intend to do together before a detailed contract is signed. Expertvuw’s team drafts MoUs for business partnerships, collaborations with institutions and pre-deal understandings — making it clear which clauses are binding and which are not.

Overview

Is an MoU Legally Binding?

Whether an MoU is binding depends on its language and intent, not its title. Under the Indian Contract Act, 1872, if an MoU contains definite terms, consideration and an intention to create legal relations, courts can treat it as an enforceable contract. If it only records an intention to negotiate, it may not be enforceable as a whole.

Well-drafted MoUs therefore state clearly which parts are non-binding (for example, the proposed commercial terms) and which are binding from signing — typically confidentiality, exclusivity for a limited period, costs, governing law and dispute resolution. They set out the purpose, roles and responsibilities, timelines, next steps toward a definitive agreement, and when the MoU ends.

MoUs are common for business collaborations, joint bids, university and research partnerships, CSR projects with NGOs, and pre-transaction understandings. Stamp duty may apply depending on the state and whether the MoU operates as an agreement.

Basis: Indian Contract Act, 1872 (sections 2, 10 and 29); state Stamp Acts; Companies Act, 2013 (CSR provisions, for CSR MoUs). Last updated: 27 September 2026.
