Maintenance of Statutory Registers under the Companies Act

Last updated: 2 October 2026

Every company must keep a set of statutory registers — members, directors, charges, loans and more — at its registered office. Our team sets them up, brings them up to date and keeps them current, in physical or electronic form.

Overview

Which registers a company must maintain

The Companies Act, 2013 requires every company to maintain statutory registers and keep them at its registered office. The main ones are:

  • Register of members (MGT-1) — shareholders, their holdings and transfers (section 88).
  • Register of directors and key managerial personnel, including their shareholdings (section 170).
  • Register of charges (CHG-7) — charges created on the company’s assets (section 85).
  • Register of loans, guarantees, security and investments (MBP-2) (section 186).
  • Register of contracts with related parties (MBP-4) (section 189).
  • Register of significant beneficial owners (BEN-3), and registers for share transfers, buy-backs and ESOPs where relevant.

Registers may be kept in electronic form with proper safeguards. They are open to inspection by members, and auditors, banks and investors routinely ask for them.

Based on the Companies Act, 2013 and the rules made under it. Last updated: 27 September 2026.
