Termination and Separation Agreements – Structured Exits for Employees, Vendors and Partners

Last updated: 2 October 2026

Ending an employment, vendor or partnership relationship cleanly avoids disputes later. Expertvuw’s team drafts separation and termination agreements covering final dues, handover, confidentiality and mutual releases, in line with the labour codes and contract law.

Overview

What a Termination Agreement Covers

A termination or separation agreement records the terms on which a relationship ends by mutual agreement. For employees, it typically covers the last working day, notice pay or waiver, full and final settlement (salary, leave encashment, bonus, gratuity where applicable), return of company property, continuing confidentiality and non-solicitation, cooperation on handover, and a mutual release of claims.

Under the labour codes in force from 21 November 2025, final wages must be paid within the prescribed time after separation, and statutory dues such as gratuity and PF must be settled as per law. Termination of workers must follow the Industrial Relations Code procedures where applicable, and releases cannot waive statutory rights.

For commercial relationships — vendors, distributors, consultants or joint venture partners — termination agreements deal with outstanding payments, transition of services, return of materials and IP, and settlement of disputes, often by reference to the original contract’s termination clause.

Basis: Indian Contract Act, 1872; Code on Wages, 2019; Code on Social Security, 2020; Industrial Relations Code, 2020 (in force from 21 November 2025). Last updated: 27 September 2026.
