Master Service Agreement (MSA) Drafting – One Framework for Ongoing Client or Vendor Work

Last updated: 2 October 2026

An MSA sets the common legal terms once, so each new project only needs a short statement of work. Expertvuw’s team drafts MSAs for service companies, IT firms, agencies and their clients, with clear scope, payment, IP, liability and exit terms.

Overview

How an MSA Works

A Master Service Agreement is a framework contract between a service provider and a client. It contains the terms that apply to every engagement — payment terms, confidentiality, intellectual property, warranties, limitation of liability, indemnities, data protection, dispute resolution and termination. Each specific project is then documented in a Statement of Work (SOW) or work order that refers back to the MSA.

In India, an MSA is a contract under the Indian Contract Act, 1872 and must be stamped under the applicable state Stamp Act. Terms that frequently cause disputes include vague scope and acceptance criteria, unclear ownership of deliverables, uncapped liability, and payment timelines. For MSME service providers, the MSMED Act’s 45-day payment rule can also be relevant.

Where the services involve personal data, the MSA should allocate responsibilities in line with the Digital Personal Data Protection Act, 2023, whose core obligations apply from May 2027.

Basis: Indian Contract Act, 1872; state Stamp Acts; MSMED Act, 2006 (sections 15–16); Copyright Act, 1957 (assignment of work); Digital Personal Data Protection Act, 2023; Arbitration and Conciliation Act, 1996. Last updated: 27 September 2026.
