Issue of Debentures by Private and Unlisted Companies

Last updated: 2 October 2026

Debentures let a company raise debt from investors on agreed terms, secured or unsecured, and optionally convertible. Our team structures the issue under the Companies Act, prepares approvals and documents, and handles charge creation and filings.

Overview

How debenture issues work

Debentures are issued under section 71 of the Companies Act, 2013 and Rule 18 of the Share Capital and Debentures Rules. For most private and unlisted companies:

  • Debentures are usually issued by private placement, with a special resolution and an offer letter (PAS-4), and allotment within 60 days.
  • Secured debentures are secured by a charge on assets of adequate value, registered with the ROC in Form CHG-9, and generally redeemed within ten years.
  • A debenture trustee is needed where debentures are offered to the public or to more than 500 persons.
  • Unlisted companies (other than NBFCs and housing finance companies) must maintain a debenture redemption reserve of 10% of outstanding debentures and invest or deposit 15% of the amount maturing in the year by 30 April.
  • Convertible debentures that convert into shares need shareholder approval by special resolution.

Money raised by debentures from outside the permitted categories can fall within the deposit rules, so structuring matters.

Based on sections 42 and 71 of the Companies Act, 2013 and Rule 18 of the Companies (Share Capital and Debentures) Rules, 2014. Last updated: 27 September 2026.
