Private Equity and VC Investment: Company Law Compliance

Last updated: 2 October 2026

A private equity or venture capital investment brings a term sheet, a shareholders’ agreement and a set of corporate actions that must line up. Our team handles the company law and FEMA side of the deal — articles, approvals, allotment and filings — alongside your legal advisers.

Overview

What a PE or VC round involves on the company side

After the term sheet is signed, the company must make its corporate records and constitution match the deal:

  • Due diligence — investors review corporate records, filings, registers and contracts. Gaps are fixed before closing.
  • Articles of association — amended by special resolution to reflect investor rights in the shareholders’ agreement, such as board seats, affirmative votes, pre-emption, tag-along and drag-along.
  • Instruments — equity shares, compulsorily convertible preference shares (CCPS) or other instruments issued through private placement, with a registered valuer’s report.
  • Authorised capital increased where needed, and a nominee director appointed for the investor.
  • Foreign investors — FDI pricing guidelines and FC-GPR reporting within 30 days of allotment.

The shareholders’ agreement and investment agreements are negotiated by your legal counsel; we align the company’s approvals, documents and filings with them.

Based on the Companies Act, 2013 and the rules made under it. Last updated: 27 September 2026.
