A company that is not doing business — for example, one formed for a future project or holding an asset — can apply for dormant status and keep its registration with lighter compliance. Our team checks eligibility, files the application and keeps the yearly dormant return on track.
Under section 455 of the Companies Act, 2013, a company can apply to the Registrar for dormant status if it:
Payments such as ROC fees, statutory dues, allotment of shares to meet legal requirements and office upkeep do not count as significant transactions.
A company that stays dormant for five consecutive years can be removed from the register.
Based on section 455 of the Companies Act, 2013 and the Companies (Miscellaneous) Rules, 2014. Last updated: 27 September 2026.
