Proprietorship, partnership, LLP, One Person Company or private limited company: the right choice depends on who is involved, how you plan to raise money, the liability you are prepared to carry, and the compliance you can manage. We walk through the options with you, then handle incorporation and the registrations that follow.
Each structure has a different legal identity, liability, tax treatment and compliance load. A sole proprietorship is simple to start but the owner is personally liable. A partnership firm under the Indian Partnership Act, 1932 is also based on unlimited liability. An LLP under the LLP Act, 2008 offers limited liability with a flexible internal agreement. A private limited company under the Companies Act, 2013 is usually preferred where outside investors or ESOPs are planned. A One Person Company allows a single founder to have a company, subject to conditions.
The questions that decide the choice are practical. Will you bring in investors? How many founders are there? Will you hire employees and offer stock options? Do customers or government tenders require a particular form? What compliance cost is reasonable at your stage?
Once the structure is chosen, we handle incorporation and the registrations that usually follow, such as PAN and TAN, GST where applicable, Udyam, a bank account and, for eligible entities, Startup India recognition. Tax planning questions are referred to independent Chartered Accountants.
