Annual Compliance Retainership for Companies and LLPs

Last updated: 2 October 2026

One fixed arrangement for the year’s company secretarial and compliance work: board and general meetings, statutory registers, ROC annual filings, event-based filings and a compliance calendar. Accounting, tax audit and statutory audit are handled by independent Chartered Accountants coordinated through the same retainer.

Overview

What an annual retainership covers

Every private limited company and LLP has recurring obligations under the Companies Act, 2013 or the LLP Act, 2008, whether or not it had business activity in the year. Missed due dates attract additional fees, and some lapses lead to penalties on the company and its officers.

A retainership puts these obligations on a calendar and assigns them to one team. For a company this usually includes at least four board meetings in a year with no gap of more than 120 days (section 173), the annual general meeting within six months of the financial year end (section 96), minutes and statutory registers, and annual filings such as AOC-4 and MGT-7 or MGT-7A. Event-based filings, like changes in directors, share allotments or registered office, are handled as they arise.

Where the work needs a Chartered Accountant, such as bookkeeping review, income tax returns, tax audit or the statutory audit, it is done by independent practising CAs, and the retainer covers coordination.

Based on the Companies Act, 2013, the LLP Act, 2008 and the rules made under them. Last updated: 27 September 2026.
