Due Diligence for Business Acquisitions in India

Last updated: 2 October 2026

Before you buy a company, acquire a stake or take over a business, you need to know what you are taking on: whether the shares are validly held, what the company has filed, which licences it relies on, what it owes and what disputes are pending. We carry out corporate and secretarial due diligence and coordinate independent CAs and advocates for financial, tax and litigation review.

Overview

What acquisition due diligence covers

Due diligence is a structured review of a target business before a transaction. It helps the buyer decide whether to proceed, how to price the deal, and what protections to build into the share purchase or business transfer agreement, such as conditions, indemnities and warranties.

Corporate and secretarial due diligence looks at the target’s incorporation documents, share capital history, allotments and transfers, statutory registers, board and shareholder approvals, ROC filings, charges registered with the ROC, directors and related party transactions. Where foreign investment is involved, FEMA reporting is also checked.

Financial and tax due diligence is carried out by independent Chartered Accountants, and litigation and title review by independent advocates. We coordinate the full exercise and consolidate findings into one report.

Based on the Companies Act, 2013, FEMA and the rules made under them; financial, tax and litigation review by independent professionals. Last updated: 27 September 2026.
