Converting a Sole Proprietorship into a Private Limited Company

Last updated: 2 October 2026

Moving from a proprietorship to a private limited company brings limited liability, credibility with banks and customers, and room for investors. Our team incorporates the company, transfers the business and carries your registrations and GST credit across.

Overview

How a proprietorship becomes a private limited company

A proprietorship cannot be converted directly. The usual route is:

  • Incorporate a new private limited company, with at least two shareholders and two directors.
  • The company takes over the proprietorship business under a business transfer agreement (or a succession agreement).
  • For the transfer to be tax-neutral under section 70(1)(zf) of the Income-tax Act, 2025 (earlier section 47(xiv)): all business assets and liabilities must pass to the company, the former proprietor must hold at least 50% of the voting power for five years, and receive only shares as consideration.
  • GST input tax credit moves to the company through Form GST ITC-02, and the company takes its own GST registration.

Bank accounts, licences, contracts and employee records are moved to the company’s name.

Based on the Companies Act, 2013, the Income-tax Act, 2025 and the CGST Rules. Last updated: 27 September 2026.
