Annual Compliance for LLPs: Form 11, Form 8 and More

Last updated: 2 October 2026

Every LLP files an annual return and a statement of accounts with the ROC each year — even if it had no business. Our team prepares and files both, coordinates any audit and keeps designated partner KYC current.

Overview

What an LLP must file every year

An LLP’s financial year runs from April to March. Its main yearly filings under the LLP Act, 2008 are:

  • Form 11 (annual return) — by 30 May, covering partners and their contributions.
  • Form 8 (statement of account and solvency) — by 30 October, signed by designated partners and certified by a practising professional.
  • Audit — required where turnover exceeds ₹40 lakh or contribution exceeds ₹25 lakh; the audit is done by a Chartered Accountant.
  • Income tax return — the LLP is taxed as a firm.
  • DIR-3 KYC for designated partners — now once every three financial years, with updates within 30 days of any change in contact details.

Changes during the year — new partners, change in contribution or amendments to the LLP agreement — are filed separately within the time allowed.

Based on the Limited Liability Partnership Act, 2008 and LLP Rules, 2009. Last updated: 27 September 2026.
