FC-GPR Filing and FDI Compliance for Indian Companies

Last updated: 2 October 2026

When an Indian company issues shares to a foreign investor, it must report the allotment to RBI in Form FC-GPR within 30 days. Our team prepares the filing on the FIRMS portal, coordinates the valuation and bank KYC, and keeps the yearly FDI reporting in order.

Overview

What FDI reporting involves

Foreign investment into an Indian company is reported to RBI through the FIRMS portal (Single Master Form), via the company’s authorised dealer bank. The main filings are:

  • FC-GPR — for fresh shares issued to a foreign investor, within 30 days of allotment.
  • FC-TRS — for a transfer of shares between a resident and a non-resident, within 60 days of the transfer or receipt of payment.
  • Form DI — for downstream investment by a foreign-owned Indian company, within 30 days.
  • FLA return — every year by 15 July.

Shares must be allotted within 60 days of receiving the money; otherwise the money is refunded within 15 days. The issue price must be supported by a valuation from a Chartered Accountant, a SEBI-registered merchant banker or a practising cost accountant. The remitting bank’s KYC report on the foreign investor is also needed. Late filings can be regularised by paying a late submission fee.

Based on the FEMA (Non-debt Instruments) Rules, 2019 and RBI’s Master Direction on Foreign Investment in India. RBI has published draft replacement rules — we track changes as they are notified. Last updated: 27 September 2026.
