A UK private limited company opens access to UK and European customers, banking and payment systems. Our team coordinates Companies House registration, director identity verification, the registered office and banking — and the Indian overseas investment (ODI) filings.
A UK private limited company is registered with Companies House. There is no UK residency requirement for directors or shareholders, but the company needs a registered office address in the UK — a PO box alone is not accepted.
Since 18 November 2025, identity verification is mandatory for new directors and persons with significant control (PSCs). Overseas directors usually verify through an Authorised Corporate Service Provider (ACSP).
Tax and filings: corporation tax is 19% on profits up to £50,000 and 25% above £250,000, with marginal relief in between. Each year the company files a confirmation statement and its accounts with Companies House, and a corporation tax return with HMRC.
The Indian side: Indian residents investing in the UK company make an overseas direct investment (ODI) under the FEMA (Overseas Investment) Rules, 2022, reported through an authorised dealer bank, with an Annual Performance Report by 31 December.
Based on Companies House and HMRC guidance and the FEMA (Overseas Investment) Rules, 2022. Last updated: 27 September 2026.
