Singapore is a common base for Asia-Pacific expansion and a frequent holding location for Indian startups. Our team coordinates incorporation, the resident director and company secretary, banking, and the Indian overseas investment (ODI) filings.
A Singapore private limited company is incorporated online with the Accounting and Corporate Regulatory Authority (ACRA). It needs:
Tax: the corporate tax rate is 17%, with partial exemptions on the first S$200,000 of chargeable income, and a start-up exemption for qualifying new companies in their first three years. The company holds an AGM within six months of its financial year-end (private exempt companies can dispense with it in some cases) and files an annual return with ACRA.
The Indian side: Indian residents investing in the Singapore company make an overseas direct investment (ODI) under the FEMA (Overseas Investment) Rules, 2022, reported through an authorised dealer bank, with an Annual Performance Report by 31 December.
Based on ACRA and IRAS guidance and the FEMA (Overseas Investment) Rules, 2022. Last updated: 27 September 2026.

Most issues are about people and paperwork, not the incorporation itself.
Without a resident director the company cannot be incorporated; nominee arrangements need proper agreements.
A Singapore holding company above an Indian company must fit India’s ODI and round-tripping rules.
Late AGMs and annual returns lead to ACRA penalties.
