Understanding business registrations and licences in India

What this section covers

Most Indian businesses hold a mix of registrations that fall into three groups: those needed to operate at all, those needed for a particular product or activity, and those that unlock a scheme or benefit. Each is granted by the authority named in the relevant law, and the authority decides every application.

  • Basic registrations – MSME (Udyam) registration under the MSMED Act, 2006, shop and establishment registration under State law, ESI and PF registration for employers, Startup India recognition from DPIIT, and the half-yearly MSME return for companies with dues to micro and small enterprises.
  • Trade and export – Importer Exporter Code and its updation under the Foreign Trade (Development and Regulation) Act, 1992, ICEGATE and AD code registration with customs, RCMC from export promotion councils (including APEDA and the Spices Board), certificates of origin, barcodes and LEI.
  • Product and sector licences – FSSAI licence under the Food Safety and Standards Act, 2006; BIS registration and ISI mark under the Bureau of Indian Standards Act, 2016; drug licences and CDSCO approvals under the Drugs and Cosmetics Act, 1940; Legal Metrology registration for packaged goods; factory licence; RERA registration under the Real Estate (Regulation and Development) Act, 2016; PSARA licence for private security agencies; and extended producer responsibility (EPR) under the environmental waste rules.
  • Tax exemption and foreign funds – 12A and 80G registration for charitable organisations, and FCRA registration under the Foreign Contribution (Regulation) Act, 2010.
  • Government market access – GeM registration, NSIC registration, ZED certification and Make in India related approvals.

Who needs these services

  • Every new business with premises or employees, which typically needs shop and establishment registration and, once headcount thresholds are crossed, ESI and PF registration.
  • Micro, small and medium enterprises wanting access to MSME schemes, priority lending and delayed-payment protection.
  • Importers and exporters, for whom an IEC is generally the starting point before customs clearance or export incentives.
  • Manufacturers and sellers of regulated products – food, drugs, medical devices, cosmetics, packaged commodities and products under compulsory BIS certification.
  • Real estate promoters and agents, security agencies, and producers or importers of plastic packaging, electronics or batteries covered by EPR.
  • Trusts, societies and Section 8 companies seeking tax exemption or planning to receive foreign contributions.
  • Suppliers to government buyers using the GeM portal.

How to choose between the services

  • Just started: MSME Udyam, shop and establishment and, if you hire, ESI and PF registration. Add Startup India recognition if you meet DPIIT’s eligibility criteria.
  • Planning to export or import: IEC registration first, then ICEGATE and AD code with the port. RCMC, APEDA or Spices Board registration and certificates of origin depend on your product and destination. Use IEC updation for the annual update that DGFT requires.
  • Selling food: FSSAI registration or licence, depending on the scale and nature of operations.
  • Selling medicines, devices or cosmetics: drug licence (State authority) or CDSCO approvals (central), as the product requires.
  • Product covered by a quality control order: BIS registration or ISI mark; add Legal Metrology registration for pre-packaged goods.
  • Running a charity: 80G and 12A registration; FCRA registration only if foreign contributions are expected.
  • Selling to government: GeM registration, with NSIC or ZED certification where tenders give preference.
  • Regulated activity: RERA registration, PSARA licence, factory licence or EPR compliance, depending on the activity.

Digital signature certificates are covered in the separate DSC section.

Frequently asked questions

Is MSME Udyam registration mandatory?

Udyam registration is not compulsory for every business, but it is generally required to access MSME benefits such as scheme eligibility, priority sector lending and protection against delayed payments under the MSMED Act, 2006. Classification into micro, small or medium depends on investment in plant and machinery or equipment and on turnover, and these limits are revised by notification, so the current thresholds should be checked on the Udyam portal.

Do I need an IEC for every import or export?

An Importer Exporter Code issued by DGFT is generally required for import or export of goods and for claiming export benefits, subject to limited exemptions notified under the Foreign Trade Policy. The IEC is linked to the PAN of the entity. DGFT also requires IEC details to be updated annually, and an IEC that is not updated may be deactivated until the update is made.

Which FSSAI registration applies to my food business?

FSSAI offers basic registration for small food business operators and State or Central licences for larger or specified operations, based on factors such as turnover, production capacity and the type of activity, including import and e-commerce. The criteria are set under the Food Safety and Standards Act, 2006 and its licensing regulations and are amended from time to time, so the current eligibility table on the FSSAI portal should be checked before applying.

What is the difference between 12A and 80G registration?

12A registration (now under the corresponding provisions of the Income-tax Act) allows a trust, society or Section 8 company to claim exemption on income applied to its charitable objects. 80G approval allows donors to claim a deduction for donations made to it. They are separate approvals, both are generally granted provisionally at first and then need regular approval, and both carry ongoing compliance conditions.

When is ESI and PF registration required?

EPF coverage has generally applied to establishments with 20 or more employees, and ESI coverage to establishments with 10 or more employees in notified areas. These provisions now sit in the Code on Social Security, 2020, which came into force in November 2025 and replaced the earlier EPF and ESI Acts. Coverage rules and notified areas can change, so the latest rules and notifications should be checked.
