Converting a Partnership Firm into an LLP

Last updated: 2 October 2026

Converting a partnership firm into an LLP keeps the partnership model but adds limited liability and a separate legal identity. Our team handles partner and creditor consents, the Form 17 conversion and the move of registrations.

Overview

How a firm converts into an LLP

Under section 55 and the Second Schedule of the LLP Act, 2008, a partnership firm can convert into an LLP if all partners of the firm, and no one else, become partners of the LLP.

  • All partners consent, and creditors’ consent is obtained.
  • The LLP is incorporated through FiLLiP, with the conversion application in Form 17, including a statement of assets and liabilities.
  • After registration, the LLP informs the Registrar of Firms of the conversion in Form 14, within 15 days.
  • The firm’s assets, liabilities, contracts and proceedings vest in the LLP, and the firm is treated as dissolved.
  • The LLP agreement is filed within 30 days of incorporation.

Tax treatment depends on meeting the conditions that treat the conversion as a statutory succession rather than a transfer; we coordinate with your tax adviser.

Based on the LLP Act, 2008 and the Income-tax Act, 2025. Last updated: 27 September 2026.
